VidioPay Software Terms

1. Agreement

By obtaining, activating or using standalone VidioPay, you agree to these terms. If you obtain VidioPay for an organization, you confirm that you have authority to accept these terms for that organization.

2. Software licence

Subject to these terms and the applicable plan, FRANKHOST grants you a limited, non-exclusive, non-transferable and non-sublicensable right to install and use VidioPay on the number of WordPress installations permitted by your license.

The software, branding, documentation and related intellectual property remain owned by FRANKHOST or their respective licensors. Rights not expressly granted are reserved.

3. Editions and activation limits

VidioPay is offered in Free, Pro, OTT and Enterprise editions. Features, billing periods, prices and activation limits are those shown by the FRANKHOST licensing service at the time of purchase or stated in an applicable written agreement.

A site-activation limit governs WordPress installations using a software license. It is separate from viewer-device or concurrent-stream controls inside a customer's VidioPay deployment.

4. Paid plans and renewals

Paid plans may be offered monthly, yearly or under another expressly stated billing arrangement. Where recurring billing is supported and selected, renewal charges may be processed by the chosen payment provider according to the checkout terms and that provider's rules. Where automatic renewal is not available, continued paid access may require manual renewal.

5. Updates and entitlement

FRANKHOST may provide software updates, security fixes and feature changes. Access to particular features or updates may depend on the active edition and license entitlement.

6. Merchant and viewer transactions

Payments made by viewers to a website owner for video content are separate from payments made to FRANKHOST for VidioPay software licensing. FRANKHOST is not automatically a party to transactions between a VidioPay website owner and that owner's viewers or customers.

7. Acceptable use

You must not use VidioPay to violate applicable law, infringe third-party rights, distribute unlawful or malicious material, interfere with systems or security, misuse payment services, falsify licensing information, share or resell license keys without authorization, or intentionally bypass software-license controls.

Nothing in these terms restricts rights that cannot lawfully be restricted, including any rights to analyze or modify software where applicable law expressly requires that such rights remain available.

8. Availability and third-party services

VidioPay can integrate with third-party services such as payment gateways, video platforms and hosting providers. FRANKHOST does not control the continuous availability, pricing, rules or performance of those independent services.

9. Suspension or termination

FRANKHOST may suspend or terminate a license where payment is reversed or remains unpaid, the license is materially misused, security is threatened, or these terms are materially breached. Where reasonably possible, FRANKHOST may provide an opportunity to correct a remediable breach.

10. Warranty and liability

Software is provided subject to the express commitments made by FRANKHOST and any rights that applicable law does not allow to be excluded. No software can be guaranteed to operate without interruption or to prevent all copying, screen recording, attacks or third-party failures.

Any exclusion or limitation of liability applies only to the extent permitted by applicable law and does not exclude rights or liabilities that cannot legally be excluded.

11. Changes and applicable law

FRANKHOST may update these terms for future purchases or continued services. Mandatory consumer, privacy or other legal rights provided by applicable law remain unaffected.
